1. About Riki-Tech

Riki-Tech Innovation & Services ("Riki-Tech", "we", "us", or "our") is a technology services company registered in Queensland, Australia, with its principal place of business at 661 Compton Rd, Sunnybank Hills QLD 4109. We provide website design and development, SEO, business photography, bespoke software development, enterprise architecture consulting, business analysis, blockchain consulting, and related technology services.

2. Acceptance of Terms

By accessing or using the Riki-Tech website (www.riki-tech.com) or by engaging Riki-Tech for any service, you agree to comply with and be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our website or engage our services.

These Terms and Conditions apply to all visitors, clients, and users of our website and services. We reserve the right to update or modify these terms at any time without prior notice. Continued use of our website or services following any changes constitutes your acceptance of the revised terms.

3. Services

Riki-Tech provides professional technology services including, but not limited to:

• Website design, development, and maintenance
• Search Engine Optimisation (SEO) and digital marketing
• Business photography (products, shopfronts, events, portraits)
• Bespoke software development via our global partner network
• TOGAF enterprise architecture consulting
• CBAP business analysis services
• Blockchain consulting and crypto mining solutions
• IT outsourcing and dedicated development team services

The specific scope, deliverables, timelines, and fees for each engagement are agreed in a separate service agreement or statement of work between Riki-Tech and the client prior to commencement.

4. Client Obligations

Clients engaging Riki-Tech's services agree to:

• Provide accurate, complete, and timely information required for service delivery
• Make payments as agreed in the relevant service agreement
• Obtain all necessary licences, permissions, and rights for any content, materials, or assets provided to Riki-Tech
• Not use Riki-Tech's services for any unlawful purpose
• Provide timely feedback and approvals to avoid delays in project delivery

5. Payment Terms

Payment terms are specified in the relevant service agreement or proposal. Unless otherwise agreed in writing:

• A deposit may be required prior to commencement of work
• Invoices are due within 14 days of issue
• Late payments may incur interest at a rate of 2% per month on overdue amounts
• Riki-Tech reserves the right to suspend services for accounts with overdue payments

6. Intellectual Property

6.1 Riki-Tech Materials

All intellectual property rights in materials, methodologies, tools, frameworks, and processes developed by or belonging to Riki-Tech prior to or independently of any client engagement remain the exclusive property of Riki-Tech.

6.2 Client Deliverables

Upon receipt of full payment, Riki-Tech assigns to the client the intellectual property rights in deliverables specifically created for that client under a service agreement, unless otherwise specified. Third-party components, open-source software, and Riki-Tech's proprietary frameworks remain the property of their respective owners and are licensed to the client as applicable.

6.3 Client Materials

Clients retain ownership of all content, data, logos, images, and materials provided to Riki-Tech for use in service delivery. Clients grant Riki-Tech a licence to use such materials solely for the purpose of delivering the agreed services.

7. Confidentiality

Both parties agree to keep confidential all proprietary or commercially sensitive information disclosed in connection with the engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law. This confidentiality obligation survives termination of the engagement for a period of three (3) years.

8. Limitation of Liability

To the maximum extent permitted by Australian law:

• Riki-Tech's total liability to a client for any claim arising from or related to a service engagement shall not exceed the total fees paid by that client for the relevant services in the twelve (12) months prior to the claim
• Riki-Tech shall not be liable for any indirect, consequential, incidental, special, or punitive damages, loss of profits, loss of data, or loss of business opportunity
• Riki-Tech does not warrant that its services will be uninterrupted, error-free, or achieve any particular business outcome

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable Australian law.

9. Third-Party Partners

Riki-Tech delivers certain services through strategic partnerships including Hank Times Technology and BitHarvest. While Riki-Tech manages these relationships and takes responsibility for service delivery, clients acknowledge that third-party partners may be involved in service delivery. Riki-Tech is not liable for the independent acts or omissions of third-party partners beyond our reasonable control.

10. Website Use

The content on www.riki-tech.com is provided for general information purposes only. While we endeavour to keep information accurate and up to date, we make no warranties about the completeness, accuracy, or suitability of the information on our website. You must not:

• Use our website in any way that violates applicable laws or regulations
• Attempt to gain unauthorised access to our website systems
• Transmit any unsolicited commercial communications via our website
• Reproduce or republish any website content without our written permission

11. Termination

Either party may terminate a service engagement by providing written notice as specified in the relevant service agreement. Upon termination, the client is liable for payment of all services rendered up to the date of termination. Riki-Tech may immediately terminate an engagement if a client materially breaches these terms or fails to make payment when due.

12. Governing Law

These Terms and Conditions are governed by the laws of Queensland, Australia. Any disputes arising from these terms or from Riki-Tech's services shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.
